Terms and Conditions for WPPoet

1. Introduction

Welcome to WPPoet. These Terms and Conditions (“Terms”) govern your access to and use of the WPPoet website (the “Site”), including any content, functionality, products (WordPress plugins and themes), and services offered on or through the Site (collectively, the “Services”). WPPoet is owned and operated by “WPPoet”.

By accessing, browsing, registering for, purchasing from, or using the Site or Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Site or Services.

2. Definitions

  • Services: All products (including WordPress plugins and themes), services, content, features, and support offered by WPPoet through the Site.
  • Products: Specifically refers to the WordPress plugins and themes available for purchase or download from the Site.
  • User: Any individual or entity accessing or using the Site or Services.
  • Account: A registered user profile required to access certain features, purchase Products, or receive support.
  • License: The terms under which you are permitted to use the Products purchased from WPPoet.

3. Use of the Site and Services

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site or Services in any way that violates any applicable federal, state, local, or international law or regulation.
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm WPPoet or users of the Site or expose them to liability.
  • Use the Site in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Site.
  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.

4. Account Registration

To access certain features, purchase Products, or receive support, you may be required to create an Account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your Account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of your Account password.
  • Notify us immediately of any unauthorized use of your Account or any other breach of security.
  • Accept full responsibility for all activities that occur under your Account.

WPPoet reserves the right to suspend or terminate your Account if any information provided is inaccurate, not current, or incomplete, or if you violate these Terms.

5. Products and Licensing

  • Product Delivery: Upon successful payment, you will receive access to download the purchased Product(s) and associated license key(s) via your Account dashboard or email.
  • License Grant: All WordPress plugins and themes sold by WPPoet are licensed under the GNU General Public License (GPL) version 2.0 or later (https://www.gnu.org/licenses/gpl-2.0.html). You are free to use, modify, and redistribute the code under the terms of the GPL.
  • License Key Usage: While the code is GPL-licensed, a valid and active license key, obtained through purchase from WPPoet, is typically required to receive automatic updates and access to technical support for the purchased Product(s). License keys are generally valid for one year from the date of purchase unless otherwise specified (e.g., lifetime licenses).
  • License Scope: Unless otherwise stated (e.g., single-site license, multi-site license, unlimited license), the scope of your license (number of websites where you can activate the license key for updates/support) is determined by the specific plan you purchased. Details are provided on the respective product/pricing pages.
  • License Renewal: To continue receiving automatic updates and support after the initial license period expires, you will generally need to renew your license key. Renewal pricing may be offered at a discount off the current regular price.

6. Payments and Pricing

  • Pricing: All prices for Products and Services are listed on the Site and are subject to change without notice. Prices are typically listed in USD.
  • Payment Methods: We accept payments through e.g., Stripe, PayPal. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.
  • Taxes: You are responsible for any applicable sales taxes, VAT, or other governmental taxes or fees associated with your purchase. Prices listed may or may not include these taxes, depending on your location and applicable laws. Where required, taxes will be added at checkout.
  • Billing: You authorize us (or our third-party payment processor) to charge your chosen payment method for the total amount of your purchase, including any applicable taxes.

7. Refund Policy

We want you to be satisfied with our Products. We offer refunds under the following conditions:

  • Eligibility Window: Refund requests must be submitted within 14 days of the original purchase date.
  • Valid Reasons: Refunds may be granted if the Product is broken, non-functional, fails to perform its core advertised functions, or if you encountered an issue that our support team was unable to resolve after you made a reasonable effort to seek assistance.
  • Non-Refundable: Refunds will generally not be granted for:
    • Requests made after the 15-day eligibility window.
    • License renewals.
    • “Change of mind” after downloading the Product.
    • Compatibility issues with third-party plugins, themes, or specific server environments unless the Product was explicitly advertised as compatible.
    • Lack of features that were not advertised.
    • Issues caused by your modifications to the Product code.
    • Inability to provide sufficient information for our support team to diagnose an issue.
  • Process: To request a refund, please contact us at webtoptemplates@wppoet.com with your order details and the reason for your request. We reserve the right to evaluate each refund request on a case-by-case basis.
  • Effect of Refund: If a refund is granted, your license key will be deactivated, and you will no longer receive updates or support for the refunded Product. You agree to cease using and delete all copies of the refunded Product.

8. Support Policy

  • Scope: We offer technical support for our paid Products to customers with active license keys. Support generally covers:
    • Installation issues.
    • Problems using advertised features.
    • Bug fixes.
  • Exclusions: Support does not typically include:
    • General WordPress support.
    • Product customizations or modifications.
    • Conflicts with third-party plugins or themes unless explicitly stated otherwise.
    • Support for server configuration or hosting issues.
    • Support for users without an active license key or after a license has expired.
  • Availability: Support is provided via webtoptemplates@wppoet.com  during our business hours . We aim to respond to support requests within business hours, but response times may vary.
  • Access: Support can be accessed.

9. Intellectual Property Rights

  • Site Content: The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by WPPoet, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  • Trademarks: The WPPoet name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WPPoet or its affiliates or licensors. You must not use such marks without the prior written permission of WPPoet.
  • Product Code: As stated in Section 5, the PHP code portions of our WordPress plugins and themes are licensed under the GPL. However, any non-code assets included (such as images, CSS, JavaScript – if not explicitly GPL compatible) and the WPPoet trademarks and branding associated with the Products remain the intellectual property of WPPoet and are not licensed under the GPL.

Your use of the Site and Services is also governed by our Privacy Policy, which can be found. Please review our Privacy Policy to understand our practices regarding your personal data.

11. Disclaimers

THE SITE AND SERVICES (INCLUDING ALL PRODUCTS) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WPPOET HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WPPOET DOES NOT WARRANT THAT THE SITE, SERVICES, OR PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE PRODUCTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE, SERVICES, PRODUCTS, AND THE INTERNET GENERALLY.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WPPOET, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, THE SERVICES, OR THE PRODUCTS, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT SHALL WPPOET’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO WPPOET FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY, WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless WPPoet, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, Services, or Products, including, but not limited to, any use of the Site’s content, Services, and Products other than as expressly authorized in these Terms or your use of any information obtained from the Site.

14. Termination

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services (including receiving updates and support) will cease immediately. If you wish to terminate your Account, you may simply discontinue using the Services or contact us to request account deletion.

Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Changes to Terms

WPPoet reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 15 days’ notice prior to any new terms taking effect, typically by posting the updated Terms on the Site. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Site or Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Site and the Services. We encourage you to review these Terms periodically for any changes.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of, or related to, them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of our or the courts of our country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

19. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and WPpoet regarding the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site and Services.
